Terms of Service

These Terms of Service (“Terms”) govern your access to and use of MarketAmp, provided by MarketAmp (“MarketAmp,” “we,” “us,” or “our”). By creating an account or using the service, you agree to these Terms.

1. The service

MarketAmp is a software platform for designing, sending, and measuring email marketing campaigns. Features and pricing may change over time; we will give you reasonable notice of material changes.

2. Your account

You must be at least 16 years old and provide accurate information when creating an account. You are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account. Notify us promptly at support@marketamp.app if you believe your account has been compromised.

3. Acceptable use

You agree that you will not, and will not permit anyone else to:

  • Send unsolicited commercial email (spam) or violate the CAN-SPAM Act, CASL, GDPR, or any other applicable anti-spam or privacy law;
  • Upload contact lists for which you do not have a documented lawful basis (such as explicit opt-in consent or a legitimate business relationship);
  • Send content that is illegal, fraudulent, deceptive, harassing, defamatory, obscene, or that infringes intellectual-property or privacy rights;
  • Send content that promotes phishing, malware, illegal goods, or schemes that deceive recipients about the sender, subject, or purpose of the message;
  • Reverse-engineer, decompile, or attempt to derive the source code of MarketAmp, except to the extent that applicable law prohibits this restriction;
  • Interfere with or disrupt the service or the servers and networks that host it, or attempt to circumvent our rate limits, suppression lists, or other safeguards;
  • Use the service to compete directly with MarketAmp.

Every campaign you send through MarketAmp must include a functioning unsubscribe mechanism and a valid physical postal address as required by applicable law. MarketAmp inserts these automatically, and you must not remove or disable them.

We reserve the right to suspend or terminate accounts that violate this Section 3, including without refund where the violation is material.

4. Your content

You retain all rights in the content you upload or create in MarketAmp (campaigns, templates, contact lists, and similar material). You grant us a limited, non-exclusive, worldwide license to host, process, transmit, display, and back up that content solely to operate the service for you.

You represent and warrant that you have the right to grant that license and that your use of the service will not violate any third-party right or any applicable law.

5. Fees, billing, and cancellation

Paid plans are billed in advance on a monthly or annual basis depending on the plan you select. All fees are non-refundable except where required by law or where we expressly state otherwise. You authorize us (through Stripe) to charge your payment method for all fees due.

You can cancel your subscription at any time from the billing settings page. Cancellation takes effect at the end of your current billing period; you retain access until then. We do not prorate partial periods.

We may change our prices on 30 days’ notice. If you do not accept a price change, your sole remedy is to cancel before the change takes effect.

6. Free trials and free tier

If you sign up for a free trial or free tier, your use is subject to the same Terms. We may limit or modify free tier features at any time. Trials automatically expire at the end of the trial period unless you subscribe.

7. Suspension and termination

We may suspend or terminate your access to the service, with or without notice, if you violate these Terms, fail to pay fees when due, or pose a risk to our infrastructure or other users. You may terminate at any time by closing your account.

On termination we will delete your content in accordance with our Privacy Policy.

8. Third-party services

MarketAmp relies on third-party services including Supabase, Amazon Web Services, Stripe, Vercel, and Google. Your use of MarketAmp is subject to those providers’ terms where applicable. We are not responsible for outages or failures in those services, but we will make commercially reasonable efforts to select reliable providers.

9. Disclaimers

The service is provided “as is” and “as available.” To the maximum extent permitted by law, MarketAmp disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the service will be uninterrupted, error-free, or that every email you send will be delivered.

10. Limitation of liability

To the maximum extent permitted by law, in no event will MarketAmp be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, arising from your use of the service.

Our total liability for all claims arising out of or relating to these Terms or the service will not exceed the greater of (a) the amount you paid us in the twelve months preceding the event giving rise to the claim, or (b) one hundred U.S. dollars ($100).

11. Indemnification

You agree to defend, indemnify, and hold harmless MarketAmp and its officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of your content, your use of the service, or your violation of these Terms.

12. Changes to these Terms

We may update these Terms from time to time. If we make material changes we will notify you by email or an in-app notice at least 15 days before the change takes effect. Your continued use of the service after that date constitutes acceptance of the updated Terms.

13. Governing law and disputes

These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law principles. Any dispute arising out of or relating to these Terms or the service will be resolved exclusively in the state or federal courts located in Delaware, and you consent to the jurisdiction of those courts.

14. Miscellaneous

If any provision of these Terms is held unenforceable, the remaining provisions will remain in full force. Our failure to enforce any provision is not a waiver. You may not assign these Terms without our written consent; we may assign them in connection with a merger, acquisition, or sale of assets.
